Summary: These Terms govern your use of AlterPhone, a second phone number application. By using our Service, you agree to these Terms. Please read them carefully.
1. Agreement to Terms
By accessing or using AlterPhone ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
These Terms constitute a legally binding agreement between you and AlterPhone ("we," "us," or "our"). We may modify these Terms at any time, and your continued use of the Service constitutes acceptance of any modifications.
2. Eligibility
To use the Service, you must:
- Be at least 13 years old (or 16 in the European Economic Area)
- Be able to form a binding contract with us
- Not be prohibited from using the Service under applicable law
- Provide accurate and complete registration information
3. Account Registration
- You must create an account to use most features of the Service.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Description of Service
AlterPhone provides:
- Second phone numbers for making and receiving calls
- VoIP (Voice over Internet Protocol) calling services
- Call history and management features
- Optional call recording and transcription features
- Credit-based billing for call minutes
5. Phone Numbers
5.1 Number Assignment
- Phone numbers are assigned to you for the duration of your active subscription or as long as you maintain sufficient credits.
- You do not own the phone number; you are granted a license to use it.
- Numbers may be subject to regulatory requirements in certain countries.
5.2 Number Retention and Auto-Renewal
- Each phone number is assigned for a fixed period as displayed at the time of purchase.
- If auto-renewal is enabled at the time of purchase or subsequently activated by you, we will automatically attempt to deduct credits from your account balance to extend your number for an additional period before it expires.
- The renewal price in credits will be the same amount charged for the initial number purchase, as displayed at the time of purchase and visible in your number settings at any time.
- If your credit balance is insufficient at the time of an auto-renewal attempt, we may retry the renewal periodically until the number's expiration date. If renewal is not successful by the expiration date, the number will be permanently released.
- You may disable auto-renewal at any time through your number settings in the app. Disabling auto-renewal will not affect your current active period; your number will remain active until the end of the current period and will then expire without renewal.
- You may also manually renew your number at any time by initiating a renewal through the app, provided you have sufficient credits.
- Once a phone number is released, it cannot be recovered or reassigned to you. We are not responsible for any loss, inconvenience, or damages resulting from a released phone number.
- It is your responsibility to maintain a sufficient credit balance if you wish to retain your phone number through auto-renewal.
Auto-Renewal Summary: When auto-renewal is enabled, credits are automatically deducted from your balance to extend your phone number before it expires. You can disable auto-renewal or manually renew at any time. Ensure you maintain sufficient credits to avoid losing your number.
5.3 Address Verification
Some countries require address verification to comply with telecommunications regulations. You agree to:
- Provide accurate address information when required
- Submit to verification processes as needed
- Update your address if it changes
6. Payments and Billing
6.1 Credits
- Services are paid for using credits purchased through the App Store, Google Play, or other authorized payment methods.
- Credits are used to pay for phone number purchases, phone number renewals, and outbound calls based on per-minute rates.
- Inbound calls are free and do not consume credits, as long as your phone number is active and not expired.
- Rates vary by destination country and are displayed in the app. See our current call rates.
6.2 Auto-Renewal Billing
- When auto-renewal is enabled for a phone number, credits will be automatically deducted from your account balance to renew the number before it expires. By enabling auto-renewal, you authorize us to make these automatic deductions.
- The auto-renewal charge amount is displayed at the time of purchase and is visible in your number settings at all times.
- Auto-renewal is enabled by default for new phone number purchases. You may disable it at any time before a renewal charge occurs.
- If a renewal charge fails due to insufficient credits, we will attempt to process the renewal periodically until the number's expiration date. You will not be charged more than once for the same renewal period.
- You may add credits to your account at any time to ensure successful auto-renewal.
- Successful renewal charges are non-refundable except as required by applicable law.
- We will not increase the renewal price for an existing phone number without providing you notice within the app. Any price increase will apply only to subsequent renewal periods, not the current active period.
6.3 Refunds
- Purchases are generally non-refundable except as required by law.
- Refund requests should be directed to the app store where the purchase was made (Apple App Store or Google Play).
- We may provide refunds or credits at our discretion in cases of service issues.
6.4 Price Changes
We reserve the right to change pricing at any time. Price changes will be communicated in advance and will not affect existing prepaid credits.
7. Acceptable Use
You agree NOT to use the Service to:
- Violate any applicable laws or regulations
- Engage in fraud, harassment, or illegal activities
- Make threats or engage in abusive behavior
- Send spam, unsolicited messages, or robocalls
- Impersonate others or misrepresent your identity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to our systems
- Use the Service for emergency calls (911 or equivalent) as the primary purpose
- Resell or redistribute the Service without authorization
- Violate the rights of others, including intellectual property rights
7.1 User Responsibility for Legal Compliance
YOU ARE SOLELY RESPONSIBLE for ensuring your use of the Service complies with all applicable local, state, national, and international laws and regulations, including but not limited to telecommunications laws, privacy laws, and consumer protection laws in your jurisdiction and in any jurisdiction you call.
CRITICAL EMERGENCY SERVICES WARNING: AlterPhone is NOT a replacement for traditional phone service. THE SERVICE DOES NOT AND CANNOT SUPPORT EMERGENCY CALLS (911/112/999/000 or any emergency services number). You acknowledge that emergency calls may fail, may not connect, may connect to the wrong location, or may not transmit your location to emergency services. YOU MUST MAINTAIN ACCESS TO A TRADITIONAL LANDLINE OR MOBILE PHONE SERVICE FOR ALL EMERGENCY SITUATIONS. By using this Service, you acknowledge and accept full responsibility for maintaining alternative means to contact emergency services.
8. Call Recording and Transcription
IMPORTANT LEGAL WARNING: Call recording laws vary significantly by jurisdiction. Some jurisdictions require consent from ALL parties to a call before recording (two-party consent), while others require only one party's consent. Violation of these laws may result in civil liability and/or criminal penalties.
If you use call recording or transcription features:
- YOU ARE SOLELY AND ENTIRELY RESPONSIBLE for complying with all applicable laws regarding call recording consent in your jurisdiction AND the jurisdiction of the other party.
- You must obtain all necessary consents before recording any call.
- WE ARE NOT RESPONSIBLE FOR ANY LEGAL CONSEQUENCES, including civil lawsuits, criminal charges, fines, or penalties, arising from your use of recording or transcription features.
- You agree to INDEMNIFY AND HOLD US HARMLESS from any claims arising from your use of recording features.
- You grant us the necessary rights to process recordings solely for providing the Service.
9. Intellectual Property
- The Service, including its design, features, and content, is owned by us and protected by intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.
- You may not copy, modify, distribute, or reverse engineer any part of the Service.
- "AlterPhone" and related logos are our trademarks.
10. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
11. Third-Party Services
The Service may integrate with or link to third-party services. We are not responsible for:
- The availability or functionality of third-party services
- The content, accuracy, or practices of third-party services
- Any transactions between you and third parties
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- UNINTERRUPTED OR ERROR-FREE SERVICE
- ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT
- THAT DEFECTS WILL BE CORRECTED
- THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS
WE MAKE NO WARRANTY THAT:
- THE SERVICE WILL MEET YOUR REQUIREMENTS
- CALLS WILL BE COMPLETED, CONNECTED, OR MAINTAINED
- CALL QUALITY WILL BE ACCEPTABLE
- PHONE NUMBERS WILL REMAIN AVAILABLE OR FUNCTIONAL
- THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- IN NO EVENT SHALL ALTERPHONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
- OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
- WE ARE NOT LIABLE FOR ANY LOSS, DAMAGE, OR INJURY RESULTING FROM:
- Service interruptions, outages, or unavailability
- Failed, dropped, or poor quality calls
- Missed calls or delayed notifications
- Loss or corruption of data, including call recordings
- Inability to reach emergency services
- Unauthorized access to your account
- Actions or omissions of third parties
- Your violation of any laws or regulations
- Force majeure events
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
YOU ACKNOWLEDGE THAT THE FEES CHARGED REFLECT THE ALLOCATION OF RISK SET FORTH IN THIS AGREEMENT AND THAT WE WOULD NOT ENTER INTO THIS AGREEMENT WITHOUT THESE LIMITATIONS.
14. Indemnification
You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS AlterPhone, its officers, directors, employees, agents, partners, suppliers, and affiliates from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising from or relating to:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable laws, regulations, or third-party rights
- Your use of call recording or transcription features
- Any content you transmit through the Service
- Your failure to obtain required consents
- Any dispute between you and any third party
- Your negligent or wrongful conduct
We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any matter without our prior written consent.
15. Service Modifications and Termination
15.1 Service Changes
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
15.2 Account Termination
We may suspend or terminate your account if:
- You violate these Terms
- We are required to do so by law
- Your account has been inactive for an extended period
- We discontinue the Service
15.3 Effect of Termination
Upon termination:
- Your right to use the Service immediately ceases
- Your phone number will be released
- Unused credits may be forfeited (except as required by law)
- We may delete your data in accordance with our Privacy Policy
16. Dispute Resolution
16.1 Informal Resolution First
Before initiating any formal dispute proceeding, you agree to first contact us at support@alterphone.app and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved this way.
16.2 Governing Law
These Terms and any disputes arising out of or related to these Terms or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
16.3 Binding Arbitration
IF INFORMAL RESOLUTION FAILS, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION, rather than in court, except that you may assert claims in small claims court if your claims qualify.
The arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding.
16.4 Class Action Waiver
YOU AND ALTERPHONE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
16.5 Waiver of Jury Trial
YOU AND ALTERPHONE HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and AlterPhone are instead electing to have claims and disputes resolved by arbitration.
16.6 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to support@alterphone.app within 30 days of first accepting these Terms. If you opt out, you and AlterPhone may assert claims against each other in court.
17. Assumption of Risk
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- Your use of the Service is entirely at your own risk.
- VoIP services are inherently different from traditional telephone services and may be subject to different limitations, including potential unavailability during power outages, internet disruptions, or high network traffic.
- The Service depends on third-party networks, internet connectivity, and infrastructure over which we have no control.
- Call quality and availability may vary based on factors outside our control.
- You assume all risk associated with any calls made or received through the Service.
18. General Provisions
- Entire Agreement: These Terms, along with the Privacy Policy, constitute the entire agreement between you and us and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
- No Waiver: Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver must be in writing and signed by us.
- Assignment: You may not assign, transfer, or sublicense your rights under these Terms without our prior written consent. We may assign our rights without restriction or notification.
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
- Electronic Communications: By using the Service, you consent to receive communications from us electronically. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights in any person.
- Headings: The section headings are for convenience only and have no legal or contractual effect.
- Survival: Sections 8 (Call Recording), 12 (Disclaimer), 13 (Limitation of Liability), 14 (Indemnification), 16 (Dispute Resolution), 17 (Assumption of Risk), and 18 (General Provisions) shall survive termination of these Terms.
